Terms and Conditions for Cards Issued by areeba S.A.L. 

The Cards issued by areeba are subject to the following terms and conditions, as  may be amended from time to time (hereinafterthe "Terms and Conditions"): 

1. Definitions: 

  • "areeba " or "Card Issuer" or "Company" means areeba S.A.L., a financial  institution registered in Beirut, Lebanon. 

  • "Card" means a Visa card co-branded with the Partner. 

  • "PIN" means the personal identification number of the Card that must be  entered each time the cardholder uses it for purchases at Point of Sale (POS)  terminals or for cash withdrawals from Automated Teller Machines (ATM). ∙ "You" and "Your": Refers to the cardholder. 

  • "We" and "Our": Refers to the card issuer , its affiliates, and its assignees  ∙ “Mobile Application” or "App": means the electronicapplicationowned by the  partner. 

  • "Customer": means every user of the Toters App. 

  • "Partner": means Toters. 

2. Card application: 

To apply for the Card, You must be a Lebanese citizen over the age of 18. You  must provide us with all required personal and professional information, such as  full name, mother’s name, date of birth, address, email, ID number, phone  number, and any other information requested through the Card’s application  form. You acknowledge and agree that all provided information is true,  accurate, current, and complete, and You agree to notify us of any changes. If  Your Card’s application is approved, We will issue the Card. 

You may request the Card via the App. A maximum of one Card may be issued  per Customer, subject to the fees mentioned in Article 21. Your Card will be  issued based on the information and documents You provide. You must update  Your personal data through the App or by contacting Customer Service,  specifically regarding changes to Your email or phone number. The Cardholder  Acknowledges that he has read and approved all the Terms and Conditions and  the Card’s fees and costs. By requesting or using the Card, You agree to the privacy policies of the Card Issuer (https://www.areeba  .com/arabic/menu/privacy-and-security) and the Partner  (https://www.totersapp.com/privacy-policy). 

3. The Card: 

The Card is a payment Card issued by areeba . It remains the property of the  Company and must be returned upon request. It is used at POS terminals, ATMs,  online payment gateways, or any other method provided by the Company. The  Card is non-transferable and may not be resold or assigned. areeba may cancel,  retrieve, or revoke the Card at any time without prior notice in accordance with  applicable laws. We reserve the right to refuse any transaction we believe  violates any applicable laws or these Terms and Conditions. 

4. Card Balance Limit: 

You can reload Your Card up to the limit specified in the fee schedule (Section  21) through the App or through an authorized agent of the Company. The Card  can only be loaded with US dollars. Fees will apply as outlined in the schedule  below. 

We reserve the right to suspend, terminate, or restrict Your Card’s reloading  ability if any fraudulent , unauthorized or unlawful use is detected, and We will  inform You of any suspension or termination as soon as possible unless  prohibited by law. If We determine that the Card was obtained or used  fraudulently or unlawfully, We reserve the right to report the matter to the  relevant authorities. 

5. Card Security: 

You must not share your PIN with anyone. Treat Your Card numbers with the same  level of confidentiality as cash. You can store the information securely. Do not  send Card details via email or text message. Ensure that Your Card is encrypted  when performing online or wireless transactions. If You give Your Card to  someone else, You are responsible for all transactions they perform, even those  made without Your knowledge. In such cases, the Card Issuer and the Partner are  not liable for any loss or damage.

6. Lost, Stolen, or Illicit Use of the Card: 

If Your Card is lost, stolen, or used fraudulently or illicitly, You must immediately  contact the Card Issuer's Customer service at 01-954307 to minimize potential  losses. You are responsible for all unauthorized transactions made with Your  Card until You notify the Card Issuer of its theft, loss, or illicit use. If You wish to  replace a lost or stolen Card, You can contact 01-954307. You will need to  provide personal and professional information, including Your Card number, full  name, transaction dates, and any other relevant information. 

7. Card Usage: 

You can use the Card for transactions with merchants as follows: (a) Card Purchases: You can use Your Card for purchases at any merchant that  accepts Visa Cards, both inside and outside Lebanon. You can use the Card for  electronic transactions, cash withdrawals, ATM transactions, POS purchases,  online purchases, and App transactions, within the available balance. A PIN is  required for POS transactions and cash withdrawals. If a transaction exceeds  Your Card balance, You are fully responsible for the amount and any related  fees. We may freeze Your Card balance temporarily and contact You if We  detect any unusual or suspicious transactions. 

(b) Merchant Holds on Available Balance: When using the Card or the Card  details for transactions at certain electronic websites or mobile applications,  such as hotels, restaurants, gas stations, or car rental companies, where the  final amount is unknown at the time of authorization, the merchant may place a  hold on Your Card balance equal to or exceeding the final amount. The hold will  be released only once the merchant finalizes the amount, which can take up to  30 days. During this time, You cannot use the held balance for other  transactions. We may refuse to carry out any transaction that We deem to be in  violation of applicable laws and the Terms and Conditions.  

(c) Card Blocking: The Cardholder acknowledges and agrees that,  notwithstanding the blocking or deactivation of the Card through the App or by  any other means, such actions shall not relieve the Cardholder of liability for any  licit and authorized transactions that occur prior to the effective block or  deactivation of the Card. The Cardholder further agrees that any and all  transactions made prior to the block or deactivation shall remain valid and the  Cardholder shall remain responsible for the payment thereof, even if the Card is  subsequently blocked. The Issuer and the merchant shall retain the right to process and bill for such licit transactions, and the Cardholder shall not have the  right to dispute or claim the invalidity of such transactions after the fact. 

You shall be solely responsible for all financial liabilities arising from any  outstanding balances on Your Card, exempting the Card Issuer and the Partner  from any liability. 

8. Transactions and Notifications: 

You agree to receive electronic receipts (via email, mobile number, or App) for all  transactions, notifications, data, and communications in addition to the other  provided services agreed with us , to the extent permitted by law. If You dispute  a transaction, You must notify the company within 15 days from the date the  transaction was executed. If no dispute is raised within this period, You are  deemed to have fully and irrevocably accepted the transaction and waived any  right to dispute it with any authority, whether judicial or otherwise. 

9. Disputes, Refunds, and the liability for unauthorized transactions: 

  • The Cardholder acknowledges that all transactions made with the Card are  valid and binding. Any challenge to a transaction must be supported by proof to  the contrary. A dispute will not be accepted if proof is not submitted within 15  days of the transaction. 

  • The Cardholder agrees to resolve any disputes related to purchases made  using the Card with the merchant who accepted the Card. Subject to any legal  rights, no claim against the merchant or third party can result in a claim against  the Card Issuer or the Partner. 

  • You must complete and sign a dispute/refund form and provide proof to  support Your claim regarding an invalid transaction executed, within the time  frame mentioned above. Failure to provide the required information may delay  or prevent a refund to your Card. 

  • Visa will determine the outcome of a chargeback. If You submit an unjustified  chargeback claim, We may impose reasonable fees for the processing of Your  claim. We have the right to deduct from Your Card balance any fees incurred in  this regard. Visa’s refund decision will be final and constitutes a complete  resolution of the dispute. 

  • If You receive a refund, and We later find that You were not eligible, the  refunded amount will be re-debited to Your Card. 

10. Foreign Currencies: 

Cross-border fees will apply to Card transactions performed outside the  country, even if the transaction is conducted in the same currency as the Card. In case these transactions are made in a currency other than the Card’s currency,  they will be converted to the Card’s currency and will be subject to applicable  forex fees.  

11. Receipts: 

You must request receipts for every transaction performed with the Card. You  agree to verify that the transactions on the receipts match Your transactions.  You undertake to retain such receipts.  

12. Privacy and Banking Secrecy Policy: 

By agreeing to these Terms and Conditions, You confirm Your review and  acceptance of the Card Issuer’s privacy policy and the Partner’s privacy policy.  You also irrevocably and unconditionally acknowledge the following: 

  • You agree to the Partner collecting Your personal data through the App and  sharing it with the Card Issuer. 

  • You agree to the transfer of Your personal and Card data to a new card issuer if  the Card Issuer’s contract with the Partner ends, as necessary for continuity of  service. 

  • The Card Issuer and Partner may collect, store, use, and disclose certain  information to third parties about You and Your Card usage in the following  circumstances:  

    • a) as needed to perform or manage the transactions You request or approve; b) with Your consent; 

    • b) to protect against actual or potential fraudulent or illicit transactions ;  d) to comply with government authorities or court orders;  

    • c) as required and permitted under applicable laws. 

  • Third parties, such as Visa, affiliates of the Card Issuer or the Partner, or any third party contractors or service providers related to the Card services, shall have the right to access Your personal data and certain details of Card transactions  executed via the App. 

  • Information provided to or held by other third parties in connection with the App  falls outside the control of the Card Issuer or the Partner. Any information You  disclose to these parties is subject solely to their own security policies and  privacy laws, and not to the Card Issuer’s privacy policy regarding Your Card  and/or the Partner’s applicable privacy policy.

  • You hereby waive the banking secrecy obligation regulated under the Lebanese  Banking Secrecy Law dated 3/9/1956 and its amendments, in favor of the  following persons only, as needed to perform their duties and within the limits of  their responsibilities: 

    • a) Third parties authorized, appointed, or delegated by the Card Issuer or the  Partner to provide any of the services, in whole or in part; 

    • b) The lawyers and auditors of the Card Issuer or the Partner; 

    • c) Subsidiaries and affiliates of the Card Issuer or the Partner; 

    • d) Competent regulatory authorities or other third parties, should the Card  Issuer or the Partner deem it necessary to prevent or recover losses resulting  from the misuse of the service. 

13. Service Providers: 

Neither the Card Issuer nor the Partner shall bear any liability if a service provider  or a merchant refuses or is unable to provide such service or process a Card  transaction. 

The Card Issuer or the Partner shall not be held liable for the rejection of a Card  authorization request, the non-acceptance of the Card for payment completion, or any loss or damage resulting from any misuse for which the  Cardholder has been informed of the consequences. 

The Card Issuer or the Partner shall not be a party to any dispute arising between  the Cardholder and a merchant, or between the Cardholder and companies,  institutions, or providers of services or facilities through the use of the Card. In  any event, the occurrence of such a dispute shall not exempt the Cardholder  from settling payments made using their Card. 

areeba shall only refund the purchase value to the Cardholder if a refund  voucher or any other similar credit note is submitted. Subject to any legal rights,  no claim by the Cardholder against any third party shall result in a claim against  the Card Issuer and/or the Partner. Furthermore, the Cardholder may not assign  or dispose of any rights and/or obligations to a third party, or use it against the  Card Issuer and/or the Partner.

14. Card Renewal Upon Expiration: 

The Card is valid for use within the validity period stated on the Card on the App  and is subject to the applicable annual Card fee which will be deducted from the  Card balance. Upon the expiration date, areeba will automatically renew the  Card, unless the Cardholder requests the Card Issuer not to renew it at least one  month prior to the expiration date, or based on areeba ’sdecision or the Partner’s  decision not to renew it for any reason whatsoever. 

15. Card Closure: 

We may close or suspend the Card without prior notice in the event of suspected  illicit orfraudulent transactions and/or prolonged periods of inactivity. 

The Cardholder may request the closure of the Card by contacting Customer  Service at 01-954307. If the closure request is made by telephone, the  Cardholder may be required to provide written notice to cancel the Card. 

Following the closure of the Card, any outstanding amounts due under these  Terms and Conditions must still be paid. 

If the Card is closed for any reason, We will release the remaining balance within  45 business days after the closure date subject to applicable laws and  regulations. The Cardholder may access these funds by visiting our authorized  agent or via money transfer, after applying the closure fee as specified in the  Schedule of Fees in Article 21 below. If there is no account activity for a period of  6 months, an inactive Card fee will be charged due to non-use. 

16. Amendments: 

Subject to applicable laws, We reserve the right to add, delete, or amend these  Terms and Conditions at any time without prior notice. We will notify You of  changes to the existing Terms and Conditions or the addition of new terms by  posting an updated version of the Terms and Conditions on the App or by  sending an electronic notification of the changes. Your continued use of the  Card after amendments have been made to these Terms and Conditions  constitutes Your acceptance of such amendments.

17. Entire Agreement: 

These Terms and Conditions constitute the entire agreement between us  regarding the Card and supersedes all prior understandings, arrangements, and  agreements, whether written or oral.

19. Limitation of Liability: 

The Card Issuer and/or the Partner do not guarantee the continuity or  uninterrupted provision of Card-related services. Neither the Card Issuer nor the  Partner shall be liable for any service interruption, whether resulting from  temporary failures, maintenance, or extended outages beyond their control.  The Card Issuer shall not be held liable for any failure to complete a transaction  unless it is a direct result of an error by the Card Issuer. Neither the Card Issuer nor  the Partner shall be liable for any special or indirect damages (including, but not  limited to, loss of profits and business opportunities) arising out of or relating to  the use or misuse of the Card. 

20. Disclaimer: 

The Card Issuer is the sole issuing entity ofthe Cards subject to these Terms and  Conditions. It remains solely liable to Cardholders for all matters relating to the  issuance, validity, and use of the Cards, the transactions conducted through  them, and any disputes or claims that may arise in this regard, while maintaining  the non-liability of areeba as set forth in these Terms and Conditions.

21. Fees:  

The Cardholder agrees to pay the following fees to the Card account, and each  fee shall be settled from the Card account as indicated below.

22. Governing law and jurisdiction  

These Terms and Conditions shall be governed by Lebanese Law, and the Courts  of Beirut shall have exclusive jurisdiction to settle any dispute arising from their  interpretation or execution.
